Please read these terms carefully before using the Upper Music distribution service.
Acceptance of Terms
By creating an account or using any part of the Upper Music platform (uppermusic.io and dashboard.uppermusic.io), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you may not access or use the Service. These Terms apply to all users including artists, labels, and any other parties submitting content through the platform.
Eligibility
You must be at least 13 years of age to use Upper Music. If you are under 18, you must have parental or guardian consent. By using the Service, you represent and warrant that you meet these age requirements and have the legal authority to enter into these Terms.
Account Registration
To use the distribution service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@uppermusic.io if you suspect any unauthorized use of your account.
Content Rights & Ownership
By submitting audio content, artwork, or any materials ("Content") to Upper Music for distribution, you represent and warrant that:
- You own or hold all necessary rights, licenses, and permissions to the Content you submit.
- The Content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or moral rights.
- All samples, interpolations, co-writer contributions, and recordings included in the Content are properly cleared and licensed.
- You retain full ownership and copyright of your Content throughout the distribution period. Upper Music does not claim ownership over your music.
You grant Upper Music a non-exclusive, royalty-free, worldwide license to distribute, transmit, and display your Content solely for the purpose of providing the Service.
Prohibited Content
The following types of content are strictly prohibited on the Upper Music platform:
- Content that infringes any copyright, trademark, or other intellectual property rights.
- Unauthorized remixes, covers without mechanical licenses, or recordings featuring uncleared samples.
- Content that is hateful, discriminatory, defamatory, obscene, or illegal under applicable law.
- White noise, ambient tracks, AI-generated content designed to game streaming algorithms, or misleading releases.
- Music submitted with inaccurate metadata intended to deceive listeners or platforms.
- Duplicate releases or content already distributed under another account or distributor without proper transfer authorization.
Violations will result in immediate content removal and may result in permanent account termination.
Artificial Streaming & Fraud
Upper Music has a zero-tolerance policy for stream manipulation. You agree not to use, purchase, or encourage the use of bots, click farms, fake playlist placements, or any other service designed to artificially inflate streaming counts or listener numbers. Violating this policy will result in immediate removal of all releases, permanent forfeiture of any pending royalties, and a permanent ban from the platform. We actively cooperate with DSPs to detect and report fraudulent activity.
Royalties & Payments
Upper Music collects royalties from partner platforms on your behalf and distributes them according to the revenue share terms agreed upon during registration. Payments are processed on a monthly cycle and are subject to minimum payout thresholds. We reserve the right to withhold payments if fraud, policy violations, or chargebacks are detected. Royalties from platforms may take 2–4 months to be reported and reflected in your dashboard due to platform reporting cycles.
Takedowns & Content Removal
You may request the takedown of any of your releases at any time through the dashboard or by contacting support@uppermusic.io. Takedown requests are processed within 7–14 business days. Note that platforms may take additional time to reflect the removal. Upper Music also reserves the right to remove any Content that violates these Terms without prior notice.
Termination
We reserve the right to suspend or permanently terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or cause harm to other users or to the reputation of our platform or partner platforms. You may also close your account at any time. Upon termination, your Content will be removed from distribution and any unpaid royalties above the minimum threshold will be disbursed after a standard review period.
Limitation of Liability
Upper Music provides the Service on an "as is" and "as available" basis. We do not guarantee uninterrupted access or that the Service will be error-free. To the maximum extent permitted by law, Upper Music shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities.
Changes to Terms
Upper Music reserves the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may close your account.
Governing Law
These Terms shall be governed by and construed in accordance with applicable international law. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or applicable legal jurisdiction, depending on your region of residence.
